Terms of Service

1. Acceptance of Terms

By accessing or using the AELX Pay platform ("Service"), operated by Aeltrix Labs LLC ("Company," "we," "us"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Service.

These Terms constitute a legally binding agreement between you and Aeltrix Labs LLC, registered in the Abu Dhabi Global Market (ADGM), Al Maryah Island, Abu Dhabi, United Arab Emirates.

2. Eligibility

You must be at least 18 years of age and have the legal capacity to enter into a binding agreement to use the Service. By using AELX Pay, you represent and warrant that you meet these requirements.

The Service is not available to persons or entities in jurisdictions where the use of blockchain-based payment systems is prohibited or restricted by law.

3. Account Registration

To access certain features of the Service, you may be required to create an account. You agree to provide accurate, current, and complete information during registration and to update such information as necessary. You are responsible for safeguarding your account credentials and for all activities that occur under your account.

4. Permitted Use

You may use the Service solely for lawful purposes and in accordance with these Terms. You agree not to use the Service to:

• Engage in any activity that violates applicable laws or regulations
• Facilitate money laundering, terrorist financing, or other illicit financial activity
• Interfere with or disrupt the integrity or performance of the Service
• Attempt to gain unauthorized access to the Service or related systems
• Transmit any malicious code, viruses, or harmful software
• Use automated tools to scrape, crawl, or extract data from the Service

5. Fees and Payments

AELX Pay charges transaction fees as disclosed on our pricing page and within the payment flow. Fees are deducted from the settlement amount before delivery to the recipient. Current fee structure:

• On-chain settlement fee: 0.20%
• Platform fee: 0.10%
• On-ramp conversion fee: 0.15% (where applicable)
• Off-ramp conversion fee: 0.10% (where applicable)

We reserve the right to modify our fee structure with 30 days' prior written notice to registered users.

6. Settlement and Finality

Payments processed through AELX Pay are settled on the Aeltrix Layer-1 blockchain. Once a transaction is confirmed on-chain, it is final and irreversible. You acknowledge that blockchain transactions cannot be reversed, cancelled, or refunded once confirmed.

7. Intellectual Property

All content, features, and functionality of the Service — including but not limited to text, graphics, logos, APIs, and software — are the exclusive property of Aeltrix Labs LLC and are protected by international copyright, trademark, and other intellectual property laws.

8. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not guarantee that the Service will be uninterrupted, secure, or error-free, or that defects will be corrected.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, AELTRIX LABS LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES.

Our total aggregate liability for any claims arising out of or relating to these Terms or the Service shall not exceed the total fees paid by you to us in the twelve (12) months preceding the claim.

10. Indemnification

You agree to indemnify, defend, and hold harmless Aeltrix Labs LLC, its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses arising out of or in any way connected with your access to or use of the Service or your violation of these Terms.

11. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the Abu Dhabi Global Market (ADGM). Any disputes arising out of or relating to these Terms shall be submitted to the exclusive jurisdiction of the ADGM Courts.

12. Modifications

We reserve the right to modify these Terms at any time. Material changes will be communicated via email or through a notice on the Service at least 30 days before the changes take effect. Your continued use of the Service after the effective date of any modifications constitutes your acceptance of the updated Terms.

13. Termination

We may suspend or terminate your access to the Service at any time, with or without cause, and with or without notice. Upon termination, your right to use the Service will immediately cease. Sections that by their nature should survive termination shall survive.
